Terms of Service
Welcome to EPonGO. These Terms set the ground rules for using our platform. Read them carefully — by creating an Account or using any part of the Services, you agree to be bound by them.
1. Acceptance and Eligibility
By accessing or using EPonGO you confirm that you are at least 13 years old (or the minimum age of digital consent in your country, whichever is higher) and that you are legally able to enter into these Terms. If you are using EPonGO on behalf of an organization, you confirm that you have authority to bind that organization, and “you” in these Terms includes that organization.
EPonGO may add features that require additional age verification or other eligibility checks. If you do not meet a requirement for a specific feature, that feature may be unavailable to you even if you otherwise have an Account.
2. Defined Terms
The following terms have the meanings given here whenever they appear in these Terms or in the Copyright Policy and Community Guidelines:
- Account
- The registered user profile you create on EPonGO, including credentials, settings, balances, and history associated with it.
- Content
- Any material you upload, submit, stream, perform, publish, broadcast, or otherwise make available through EPonGO. Content includes audio recordings, song-lyric drafts, images, cover art, video, comments, chat messages, profile information, Stage broadcasts, Song Lab outputs, and anything we add to the platform in the future.
- Creator
- A User who uploads, streams, performs, or otherwise originates Content on EPonGO, including artists, hosts, producers, podcasters, and curators.
- EPonGO
- The EPonGO platform, including the website at epongo.com, related subdomains, mobile interfaces, and any associated services. References to “we,” “us,” or “our” mean EPonGO.
- Listener
- A User who consumes Content on EPonGO without being its Creator (e.g., joining a Stage, playing tracks, leaving comments).
- Notice
- A written communication to EPonGO that asserts an infringement of copyright, including all elements required by United States copyright law and described in our Copyright Policy.
- Services
- The features, tools, and functionality EPonGO offers, including but not limited to track uploads, profiles, comments, the Song Lab, Stages live audio, contests, follows, tips, the credit economy, the cash balance system, and any future features.
- Song Lab
- EPonGO's tools for collaboratively producing original music using a combination of human input and AI-assisted generation.
- Stage
- An EPonGO live audio room. Stages may include host-driven music playback, listener participation, voice chat, tipping, voting, and other live interactions. A “Stage” refers to both the live broadcast and any recording of it.
- Terms
- The Terms of Service that govern your use of EPonGO, along with any policies referenced in or incorporated into them, including the Copyright Policy and Community Guidelines.
- User
- Any individual or entity that accesses or uses EPonGO, whether or not they have created an Account. “You” and “your” refer to the User accessing these documents.
3. Your Account
You are responsible for keeping your Account credentials secure and for all activity that occurs under your Account. Notify EPonGO promptly if you suspect unauthorized access. You may not share your Account, sell access to it, transfer it, or impersonate another person when creating one.
You may close your Account at any time. EPonGO may, in its discretion, restrict, suspend, or terminate an Account in accordance with these Terms or our Community Guidelines. Some information associated with your Account (including audit records, transaction history, and Content referenced by other users) may persist after closure as required by law, by our payment partners, or for the integrity of the platform.
4. Your Content
You are solely responsible for the Content you upload, submit, stream, perform, broadcast, or otherwise make available through EPonGO. This includes — without limitation — tracks you upload, Stages you host or participate in, Song Lab outputs you save or accept, comments and chat messages you post, profile fields you fill out, cover art and images you supply, and any future surface EPonGO adds.
EPonGO reserves the right, but not the obligation, to remove or disable access to Content, restrict features, or suspend or terminate Accounts in the circumstances described in Section 10, including upon receiving a Notice or upon becoming aware of facts or circumstances from which infringing or otherwise prohibited activity is apparent.
By making Content available through EPonGO you represent and warrant that:
- You own the Content or have all rights, licenses, consents, and permissions necessary to upload it and to grant the licenses described below;
- Your Content does not infringe any copyright, trademark, publicity right, privacy right, contractual obligation, or other right of any third party;
- Your Content does not contain material you are restricted from sharing under any agreement (including non-disclosure agreements, recording contracts, sample-clearance obligations, or licensing terms);
- If the Content includes the voice, likeness, performance, image, or identifiable information of any other person, you have obtained that person's consent;
- Your Content complies with the Community Guidelines, the Copyright Policy, and applicable law.
5. License You Grant EPonGO
EPonGO does not claim ownership of your Content. You retain whatever rights you have in it.
To allow us to operate the Services, you grant EPonGO a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, stream, broadcast, transcode, cache, display, perform, and adapt your Content solely for the purpose of providing, improving, and promoting the Services. This includes incidental copies made by our delivery network, recordings of Stages you host or appear in, derivatives used for technical purposes (waveforms, thumbnails, transcripts), and clips or previews used to promote your Content within the platform.
This license ends when you remove the Content from EPonGO, except where (a) you have allowed another User to use the Content (e.g. they added your track to a playlist or recorded a Stage you spoke in), (b) the Content has been incorporated into another User's Content with your permission, or (c) we are required by law to retain a copy.
6. DMCA and Copyright
EPonGO respects the intellectual property rights of creators and copyright owners. Copyright owners who believe content on EPonGO infringes their rights may submit a copyright complaint that includes identification of the copyrighted work, identification of the allegedly infringing content and its location on the platform, contact information for the complaining party, a statement of good-faith belief that the use is unauthorized, a statement that the information provided is accurate, and a physical or electronic signature. If EPonGO receives a valid copyright complaint, we may remove or disable access to the identified content and notify the user who posted it. Users who believe content was removed as a result of mistake or misidentification may submit a counter-notification. EPonGO may restore content when legally permitted and in accordance with applicable law. EPonGO also maintains a repeat infringer policy and reserves the right to restrict, suspend, or terminate accounts that repeatedly violate the intellectual property rights of others. 7. Acceptable Use
Your use of the Services is governed by our Community Guidelines, which describe the kinds of behavior and Content that are and are not welcome on EPonGO. Material violations of the Community Guidelines are material breaches of these Terms.
In addition, you agree not to:
- Use the Services to violate the law or the rights of others;
- Interfere with the integrity, security, or performance of the Services (including bot abuse, vote manipulation, fake accounts, or unauthorized scraping);
- Circumvent any access controls, rate limits, or feature gates;
- Reverse-engineer the Services or any underlying software except to the extent that applicable law expressly permits;
- Use the Services to develop or train a competing music platform or to mass-export Content without authorization;
- Misrepresent your identity, your relationship to a third party, or the source of Content you make available.
8. Intellectual Property: Yours
You retain all rights in Content you create or own. Nothing in these Terms transfers ownership of your Content to EPonGO, and the license you grant us is limited to what we need to operate the Services.
9. Intellectual Property: Ours
The Services, including the EPonGO name and brand, the underlying software, the design and visual identity of the platform, and the tools and templates we make available, are protected by copyright, trademark, and other intellectual property rights and are owned by EPonGO or licensed to it. Nothing in these Terms transfers any of those rights to you. You may not use our name, marks, or branded materials except as expressly permitted (for example, sharing a public link or embed we have provided).
10. Right to Remove Content and Restrict Access
EPonGO may, with or without notice, remove or disable access to Content, restrict use of features, suspend an Account, or terminate an Account when we determine it is appropriate to do so — for example, to comply with law, to respond to a Notice or other valid complaint, to enforce these Terms or the Community Guidelines, to protect Users or the integrity of the platform, or to address technical, security, or operational concerns.
Where EPonGO removes Content in response to a Notice, the User who made the Content available may, where appropriate, submit a counter-notification as described in the Copyright Policy.
11. Credits, Cash Balance, Tips, and Contests
EPonGO offers an internal credit system, a cash balance system, tipping, contests, and other transactional features. The following rules apply:
- Credits are an internal platform unit used to participate in certain Services. Credits have no fixed cash value, are not legal tender, are non-refundable except where required by law, and cannot be redeemed for cash.
- Cash balance reflects funds attributable to your Account from sources such as earnings, sales, or grants. Cash balance amounts are denominated in U.S. dollars and may be withdrawn subject to EPonGO's withdrawal rules, identity verification requirements, and any applicable tax reporting.
- Tips sent through EPonGO are final and not refundable unless the recipient agrees or applicable law requires otherwise. Fees may apply and will be disclosed before you confirm a tip.
- Contests are governed by the rules posted with each contest. Where contest rules conflict with these Terms, the contest rules govern for the specific contest.
You agree not to use the credit or cash balance systems to launder funds, to evade fees, to abuse promotional grants, or to harm other Users. EPonGO may reverse, freeze, or void transactions in the case of fraud, abuse, or system error.
12. Live Stages
When you host, co-host, speak in, or participate in a Stage, you remain responsible for the Content broadcast. You must have the rights necessary for any music you play, voice that you broadcast, and material you reference in chat.
EPonGO may record Stages for technical, safety, moderation, or recovery purposes. Hosts may also enable optional recording for their own purposes. Where recording is in effect, participants will be notified through in-product messaging. By speaking in or hosting a Stage you consent to the recording in accordance with these Terms and applicable law. You should not share material in a Stage that you would not want recorded.
13. Third-Party Services and Links
EPonGO may link to or interoperate with services we do not control (payment processors, music tooling, social platforms, etc.). Your use of those services is governed by their own terms, and EPonGO is not responsible for them.
14. Disclaimers
EPonGO provides the Services on an “as is” and “as available” basis. To the fullest extent permitted by law, EPonGO disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability. EPonGO does not warrant that the Services will be uninterrupted, error-free, secure against every possible attack, or compatible with your devices.
Content on EPonGO is created by Users and does not represent the views of EPonGO. EPonGO does not endorse any Content or guarantee its accuracy, legality, or quality.
15. Limitation of Liability
To the fullest extent permitted by law, EPonGO will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses arising from or related to your use of the Services. EPonGO's total cumulative liability for any claim arising from or related to these Terms or the Services will not exceed the greater of (a) the amounts you have paid EPonGO in the twelve months preceding the claim, or (b) one hundred U.S. dollars.
Some jurisdictions do not allow the exclusion or limitation of certain damages, in which case the limitations above will apply to the maximum extent permitted by law.
16. Indemnification
You agree to defend, indemnify, and hold harmless EPonGO and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising from or related to your Content, your use of the Services, your breach of these Terms or the Community Guidelines, or your violation of any law or third-party right.
17. Termination
You may stop using the Services at any time and may close your Account through your settings. EPonGO may suspend or terminate your access to all or part of the Services at any time, with or without notice, as described in these Terms.
Sections of these Terms that by their nature should survive termination — including ownership provisions, indemnification, disclaimers, limitations of liability, and dispute provisions — will survive.
18. Changes to These Terms
EPonGO may update these Terms from time to time. When we make a material change, we will provide notice through the platform or by email and update the “last updated” date below. Your continued use of the Services after a change becomes effective constitutes acceptance of the updated Terms. If you do not agree, you should stop using the Services.
19. Governing Law and Disputes
These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict-of-laws principles. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Clark County, Nevada, and you and EPonGO consent to personal jurisdiction in those courts.
Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights.
